Corporate Development Director
Responsible for providing the CFO, SVP Corporate Development, and Vice President Corporate Development, strong support in all Mergers and Acquisition activity, from prospecting, valuation, due diligence, analysis, deal structuring, leadership presentations and transaction closing. Manages all aspects of the process for potential mergers and acquisitions, minority investments, strategic partnerships, alliances, and joint ventures. Substantial work, collaboration and presentation interaction with the UL Solutions Operating Committee and senior UL leadership team, including Customer Operating Unit, Segment and Corporate Function leaders. Supervises a team of manager(s), associates and large, cross-functional internal and external resources.
- Overseas a team that supports business leaders in the identification of acquisition targets through the analysis of customers, products, markets, geographies, issues, and competitors. Ensures acquisition opportunities are aligned to corporate strategic objectives.
- Overseas a team that manages the development of financial projections for acquisition targets and performs discounted cash flow analysis to determine valuations.
- Manages all aspects of the transaction process for deals, including coordinating due diligence activities across multiple workstreams and integrating the findings from Legal, Finance, Accounting, Tax, Human Resources, Operations, amongst other key workstreams into final analysis and transaction evaluation.
- Leads the preparation of presentations and discussions for approval of transactions by the UL Solutions CEO, CFO and executive leadership team.
- Builds and maintains productive relationships with other corporate executives and segment officers, with target company management teams, and with industry and professional networks that can assist in corporate development initiatives.
- Manages the performance of direct reports by managing workloads, establishing performance objectives, providing career counseling, feedback and guidance and ensuring that all policies are understood and adhered to.
- Provides support to senior finance executives on other key initiatives including large capex projects, finance leadership team goals, amongst other key initiatives
- Manages multiple external relationships with investment banks to aid in transaction sourcing and deal business development.
- Performs other duties as directed.
- University degree (Equivalent to a Bachelor's degree) in Finance, Accounting, Economics or Business Administration
- 10 years in professional level experience in corporate development, investment banking, private equity or a mergers and acquisitions function in a corporate environment.
- Advanced degree and/or CPA.
- Ability to execute all phases of a transaction and lead transactions through deal closure, including Sales & Purchase Agreements negotiations.
- Ability to present information in a clear and concise manner to senior executives.
- Global M&A experience a plus.
- Deal sourcing capabilities a plus.
- Experience in post-transaction integration a plus.
