Senior Counsel - Commercial (Remote)

HALO
Sterling, IL

Job Description

Job Description

Description:

We are HALO! We connect people and brands to create unforgettable, meaningful, and lasting experiences that build brand engagement and loyalty for our over 60,000 clients globally, including over 100 of the Fortune 500. Our nearly 2,000 employees and 1,000 Account Executives located in 40+ sales offices across the United States are the reason HALO is #1 in our $25B industry.

HALO is looking for a business-minded attorney to join our in-house legal team as Senior Counsel – Commercial . This is a high-impact, high-visibility role with end-to-end ownership of our commercial contracting function and a clear runway to grow in the role. You will start by owning the commercial contract lifecycle, partner closely with teams across the business, and expand over time into M&A and other practice areas as a true generalist. This is an ideal role for a lawyer who is energized by variety, eager to build, and excited to work at the leading edge of how legal work gets done—including the practical, everyday use of AI tools to deliver faster results and higher quality work product.

Responsibilities:

Own commercial contracts end-to-end. Draft, review, negotiate, and manage the full range of the company’s commercial agreements—customer contracts, master services agreements, statements of work, vendor and supplier agreements, NDAs, licensing, and related documents. You’ll be the go-to resource for commercial contracting across the organization.

Build and improve how the work gets done. Develop and refine playbooks, templates, and standard positions. Use AI-powered tools as a regular part of your daily workflow to accelerate drafting, review, and analysis—and help shape how the department adopts and scales these tools responsibly.

Support small acquisitions. Work alongside the General Counsel on small acquisitions and related transactions, including due diligence, transaction documents, and integration support, with increasing responsibility over time.

Grow into a generalist. As you develop, take on matters across other areas of in-house practice—employment, commercial real estate, intellectual property, data privacy, compliance, and corporate governance—broadening your scope and impact.

Be a true business partner. Build strong, trusted relationships with —sales, technology, finance, vendor relations, and leadership. Translate legal complexity into clear, practical guidance that helps the business move.

Engage externally. Serve as a client-facing representative of the company with customers, suppliers, and partners, negotiating and problem-solving in a way that protects the company while advancing the relationship.

Requirements:
  • J.D. from an accredited law school and an active license to practice law, in good standing, in the U.S. state where you reside and will work (and a commitment to maintain that active, good-standing status throughout employment).
  • Approximately 3+ years of relevant experience in commercial transactions, in-house and/or at a reputable law firm.
  • Strong drafting and negotiation skills, with sound, practical business judgment and the ability to manage a high volume of matters independently.
  • Exposure to M&A or other corporate transactional work a must
  • Demonstrated ability to use AI and other technology tools as part of your day-to-day practice, and curiosity about how they can make legal work better and faster is a must
  • A genuine growth mindset—you welcome new areas of responsibility, learn quickly, and see ambiguity as an opportunity rather than an obstacle.
  • Excellent interpersonal and communication skills, with a proven ability to build relationships and earn trust across an organization and with external counterparties.
  • High integrity, strong ownership, and a service-oriented approach to supporting internal and external clients.

Compensation: The estimated base salary range for this position is between $150,000-$170,000 annually. Please note that this pay range serves as a general guideline and reflects a broad spectrum of labor markets across the US. While it is uncommon for candidates to be hired at or near the top of the range, compensation decisions are influenced by various factors. At HALO, these include, but are not limited to, the scope and responsibilities of the role, the candidate's work experience, location, education and training, key skills, internal equity, external market data, and broader market and business considerations.

Benefits: At HALO, we offer benefits that support all aspects of your life, helping you find a work-life balance that’s right for you. Our comprehensive benefits include nationwide coverage for Medical, Dental, Vision, Life, and Disability insurance, along with additional Voluntary Benefits. Prepare for your financial future with our 401(k) Retirement Savings Plan, Health Savings Accounts (HSA), and Flexible Spending Accounts (FSA).

Application Information: To apply to this opportunity, click the APPLY button at the top right or very bottom of the screen to complete our online application. A resume is optional, so you may choose to upload and have the application prefill with your information. There are 5 sections to complete in total, including General information, Work History, Education, Compliance, and optional demographic questions. Once you have successfully submitted your application, you will receive a submission confirmation email from our system.

Application Deadline: Applications are reviewed and processed only when there is a specific need or opportunity, rather than on a fixed schedule or at a set deadline. Because they are reviewed on an as-needed basis, a job posting will be removed once the position has been filled or is no longer available.
